Corporate Social Responsibility Policy

  • Introduction
  • Axis My India Limited is a well-established Company in advertisement, media and research industry serving across the country to corporates, media houses and government departments.
  • Company’s projects and operations touch lives of people in many ways and create value by connecting them to mainstream opportunities. Through its various initiatives, the Company endeavors to transform unexplored area into a productive region with high potential growth to address the gaps in basic societal requirements.
  • Objective of the Policy
    • To strive for economic development that positively impacts the society at large.
    • To enhance value creation, through its services, conduct and initiatives, so as to promote sustained growth of the society.
  • Scope of the Policy
  • Develop framework of Corporate Social Responsibility and its approach towards the same.
  • Identify key focus areas of inclusive development.
  • Overview of the implementation strategy of various CSR initiatives.
  • Creating methodology of measuring and reporting outcomes and impact.
  • Develop Governance Structure.

 

  • Definitions
    • “Act” means the Companies Act, 2013 including any statutory modification or re-enactment thereof.
    • “Board” means Board of Directors of the Company.
    • “Board’s Report” shall mean report of the Board of Directors prepared in accordance with section 134(3) of the Act.
    • “Chairman” means Chairman of CSR Committee.
    • “Company” means Axis My India Limited.
    • “CSR activities” means the activities or projects or programs as recommended by the CSR Committee, approved by the Board and undertaken by the Company from time to time in any one or more of the areas falling under the clause 5 contained herein.
    • “CSR Committee” means Corporate Social Responsibility Committee of Board of Directors of the Company constituted under Section 135 of Companies Act, 2013 for the purpose of administration of CSR activities, supervising the adherence of this CSR Policy and the matter incidental thereto.
    • “CSR Policy” means the Corporate Social Responsibility Policy as set out herein and as amended or modified from time to time.
    • “Directors” means Directors of the Company.
    • Unless the context otherwise requires, words and expressions used in this policy and not defined herein but defined in the Companies Act, 2013 as may be amended from time to time shall have the meaning respectively assigned to them therein.

 

  • Focus Areas

For a media Company like Axis My India Limited, there are several opportunities to increase and deepen social impact. The company's CSR initiatives will focus on discrete social problems, aimed at improving billions of lives, livings and livelihoods.

    • Education –
      • Promoting education, including special education and employability enhancing vocational skills especially in rural areas among youth, women and elderly.
      • Promoting livelihood enhancement projects and connecting them to mainstream opportunities by availing easy access to information technology.
    • Rural Development –
      • Strengthening rural areas by improving accessibility, drinking water, sanitation and sustainable livelihood.
      • Imparting skill building training to the unskilled and semi-skilled population of the villages thereby increasing their family income and bring them into main stream.
      • Supporting Farm and non-farm livelihoods
      • Using technology towards delivering need based information for improving quality of life.
    • Environment –
      • Ensuring environment sustainability and ecological balance.
      • Promoting animal welfare programs.
      • Ensuring conservation of Natural Resources.
      • Maintaining quality of soil, air and water
    • Health –
      • Enhancing accessibility to affordable solutions for healthcare through improved access, awareness and health seeking behavior.
      • Conducting need based health camps and providing consultation, medicines etc.
      • Spreading awareness for adopting healthy lifestyle.
      • Eradicating extreme hunger and malnutrition.
    • Other - To undertake other need based initiatives in compliance with Schedule VII of the Companies Act, 2013.
  • Implementation
    • Company will undertake its CSR Activities, approved by the CSR Committee directly through its team of professionals.
    • In addition to above, in some specific cases Company may engage other eligible organizations who have technical expertise and experience to undertake various programs.
    • Company may also collaborate with other companies or institutions for undertaking projects or programs for CSR activities.
    • Annual reviews shall be undertaken to ascertain the progress.
  • Governance –
    • CSR committee, along with the CSR team, shall be responsible for the decision making with respect to CSR policy.
    • CSR committee may recommend amendments in the policy to the Board and the Board may accept the recommendations.
    • The Committee to meet at least twice a year to review the implementation of CSR projects/ programs and give suitable directions.
    • The CSR Committee shall undertake sufficient due diligence of each of the CSR Activity before it is implemented.
  • Reporting –
    • The CSR Committee shall maintain proper minutes of all its meetings.
    • The CSR Committee shall prepare an annual report on CSR with such information and particulars as may be required by the Act and such report shall be included in the Board’s report annexed to the financial statements.
    • The Board’s report shall include an annual report on CSR containing such details as may be prescribed from time to time under the Act and the CSR Rules.
    • The Board will be responsible to ensure that the statutory requirements as may be prescribed from time to time under the Act and the CSR Rules are complied with.
  • Composition of CSR Committee
    • The CSR Committee shall consist of the following directors :
      • PRADEEP KUMAR MOTILAL GUPTA – CHAIRMAN
      • MUKESHKUMAR RAMGOPAL KABRA
      • ASHISH VIJAY GUPTA
    • The Company Secretary shall be the secretary to the Committee.
  • Budget –
    • The Board shall ensure that minimum 2% of average net profit of the previous 3 years is spent on CSR initiatives undertaken.
    • In case at least 2% of average net profit of the previous 3 years is not spent in a financial year, reasons for the same to be specified in the CSR report.
    • Any surplus generated out of the CSR activities not to be added to the normal business profits of the Company.
  • Monitoring –
    • To ensure effective implementation of the CSR projects, programs and activities undertaken in terms of this CSR Policy, the progress of each such project, program and activity will be reported to the CSR Committee.
    • The CSR Committee shall obtain feedback from the beneficiaries of the CSR projects, programs and activities.
